These Terms & Conditions (“Terms”) govern your access to and use of iptradeportal.com, its associated subdomains, and related marketplace services (collectively, the “Platform”). The Platform is operated by IPtradeportal (“IP trade portal”, “we”, “us”, or “our”). By creating an account, submitting a listing or inquiry, or otherwise using the Platform, you agree to these Terms and acknowledge the Privacy Policy.
1. Operator and important definitions
IPtradeportal is Not yet there, operating from [Registered Address]. Final legal-entity, registration, and registered-office details must be inserted before publication.
“IP Asset” means a registered trademark, patent, or design registration in any jurisdiction. “Seller” means an account holder who creates or submits a listing. “Interested Party” means a verified account holder who submits an inquiry. “Listing” means seller-submitted information about an IP Asset. “Transaction” means any assignment, sale, licence, negotiation, or arrangement concerning an IP Asset.
2. Eligibility and accounts
- You must be at least 18 years old and legally able to enter a binding agreement.
- You must provide accurate, current registration information, maintain the confidentiality of your credentials, and promptly notify us of suspected unauthorised use.
- Email verification is required. Every verified account may submit an inquiry; seller-capable accounts may create and submit listings. IP trade portal may assign administrative permissions internally.
- You are responsible for activity under your account and for ensuring that anyone acting for a business or rights holder has authority to do so.
- We may refuse registration, suspend access, or terminate an account to the extent permitted by applicable law and these Terms.
3. IP Trade Portal manages the transaction process
IP Trade Portal manages the full transaction lifecycle, including listing verification, buyer-seller communication, negotiation support, payment coordination, and transfer assistance. Our team guides both parties through every step to ensure a smooth and secure transaction.
While we coordinate and facilitate the process, users should still consult their own legal, tax, and financial advisers for matters specific to their jurisdiction and circumstances.
4. Listing eligibility and seller obligations
To create or submit a Listing, you represent, warrant, and undertake that:
- the IP Asset is a currently valid, registered trademark, patent, or design registration; pending applications, expired rights, and unregistered marks are not permitted;
- you own the IP Asset or have full written authority to list and discuss it on behalf of the rights holder;
- the Listing is accurate, complete, current, not misleading, and includes a valid registration number and jurisdiction;
- you disclose every known dispute, restriction, licence, charge, encumbrance, co-owner interest, litigation, opposition, cancellation risk, or limitation that may materially affect the IP Asset;
- your Listing, documents, and conduct do not infringe another person's rights or violate applicable law; and
- you will maintain supporting records and promptly correct or remove inaccurate content.
Sellers must complete the listing-submission attestation before a draft can be submitted for review. Platform moderation or approval is only a review for Platform-rule compliance and never constitutes verification, legal due diligence, ownership confirmation, validity confirmation, enforceability confirmation, valuation, or warranty.
5. Listings, uploads, and public information
Live Listings may make seller-submitted listing details publicly searchable, including IP type, title, description, registration/application number, classification, category, and usage information. Public visibility does not make a Listing accurate, verified, complete, or fit for any purpose.
Asking price is private in the initial release. It may be shared with an Interested Party through inquiry handling or as chosen by the seller or Platform. Supporting documents and uploaded media are private by default and may be viewed by the seller and authorised Platform administrators. Do not upload private, confidential, personal, or third-party information unless you have the right to provide it.
6. Inquiries and contact information
Inquiries are submitted through the Platform and managed by our team. IP Trade Portal coordinates all communication between buyers and sellers, ensuring a secure and structured process.
Contact-sharing and introductions are handled through the Platform to ensure transparency and safety for all parties involved.
7. Fees, payments, and transaction handling
IP Trade Portal may charge listing fees, transaction fees, or service fees as disclosed on the Platform. Payment processing, escrow services, and secure fund handling are managed through the Platform to protect both buyers and sellers. Applicable fees will be clearly communicated before any transaction. You remain responsible for all taxes, duties, filings, and professional costs relating to your IP Asset or Transaction.
8. No verification, advice, or valuation
All Listings and user content are reviewed by our team for accuracy and compliance. We conduct verification checks and provide due diligence support, valuation guidance, and transaction coordination to help ensure informed decisions.
9. User content and intellectual property
You retain ownership of content you submit, subject to rights you grant us. You grant IP trade portal a non-exclusive, worldwide, royalty-free, sublicensable licence to host, reproduce, adapt for technical operation, display permitted public Listing content, moderate, store, and use your content as reasonably necessary to operate, protect, promote, and improve the Platform. This licence ends when content is removed, except to the extent retention is required for backups, legal compliance, security, or dispute resolution.
You must not submit content that is unlawful, confidential without authority, deceptive, infringing, defamatory, malicious, privacy-invasive, or otherwise prohibited. IP trade portal and its branding, software, layout, and content remain protected by applicable intellectual-property laws.
10. Prohibited activities
You must not, directly or indirectly:
- list ineligible, expired, pending, unregistered, disputed, encumbered, stolen, fraudulent, or misleading IP Assets;
- impersonate a person or entity, misrepresent authority, or submit false records;
- infringe rights, violate sanctions or applicable law, or facilitate fraud, money laundering, or unlawful transactions;
- harvest data, scrape the Platform, bypass access controls, introduce malware, probe security controls, or interfere with operation;
- use the Platform for unsolicited marketing, harassment, discrimination, or any unlawful purpose; or
- circumvent Terms, platform controls, or a suspension or restriction.
11. Moderation, complaints, suspension, and appeals
We may review, restrict, remove, delist, preserve, disclose, or report content; suspend or terminate accounts; and cooperate with authorities where reasonably necessary for Platform-rule compliance, a complaint, suspected fraud, security risk, infringement, risk of harm, legal process, or applicable law. We may take immediate action without advance notice in those circumstances.
Ownership, infringement, copyright, trademark, patent, or other complaints should be sent to support@iptradeportal.com with sufficient details and supporting records. Where notice is practicable, a permanently affected user may appeal within 15 calendar days of our notification. An appeal does not require us to restore content or an account, particularly where legal, safety, fraud, or infringement concerns remain.
12. Disclaimers
To the maximum extent permitted by applicable law, the Platform and all content are provided on an “as is” and “as available” basis. IP trade portal disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, title, availability, security, and uninterrupted operation. We do not warrant that the Platform will be error-free, secure, available at all times, or free from harmful components.
13. Indemnity
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless IP trade portal, its operators, affiliates, personnel, and service providers from claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to your account, Listing, documents, inquiry, Transaction, content, breach of these Terms, violation of law, or infringement or alleged infringement of another person's rights.
14. Limitation of liability
To the maximum extent permitted by applicable law, IP trade portal and its operators, affiliates, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or loss-of-profit, revenue, data, goodwill, opportunity, IP, or transaction damages, even if advised of their possibility.
Our aggregate liability arising out of or relating to the Platform or these Terms will not exceed the greater of: (a) fees actually paid by you to IP trade portal in the 12 months before the event giving rise to liability; or (b) ₹25,000. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
15. Governing law and exclusive jurisdiction
These Terms and any non-contractual obligations arising from them are governed by the laws of [Governing Jurisdiction]. Subject to mandatory law, the courts of [Governing Jurisdiction] have exclusive jurisdiction over disputes arising from or relating to these Terms or the Platform. No arbitration agreement applies unless IP Trade Portal and the relevant user later enter a separate written agreement that expressly provides for arbitration.
16. Electronic communications and changes to these Terms
You agree that we may provide notices electronically, including by email, in-product notice, or posting on the Platform. We may amend these Terms for legal, operational, security, or product reasons. For material changes, we will provide email plus an in-product blocking notice at next login and require acceptance of the updated Terms before continued use of applicable account features. Your continued use after an effective update, where permitted by law, confirms acceptance.
17. General
These Terms, the Privacy Policy, and any applicable written transaction-specific agreement form the entire agreement between you and IP trade portal regarding the Platform. If any provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations without our written consent; we may assign these Terms as part of a merger, reorganisation, or transfer of the Platform, subject to applicable law.
